Announcement to proceed with the free disposal of shares

Pursuant to the Act of August 30, 1996 on Commercialization and Certain Entitlements of Employees (Journal of Laws of 2019, item 2181, as amended) and § 14 paragraph 1 of the Ordinance of the Minister of State Assets of November 27, 2020 on the detailed rules for the division of eligible employees into groups, determination of the number of shares per each group and the procedure for the acquisition of shares by eligible employees (Journal of Laws of 2020, item 2222) Pursuant to the Act of August 30, 1996 on Commercialization and Certain Entitlements of Employees (Journal of Laws of 2019, item 2181, as amended) and § 14 paragraph 1 of the of the Ordinance of the Minister of State Assets of November 27, 2020 on the detailed rules for dividing eligible employees into groups, determining the number of shares per each group and the procedure for the acquisition of shares by eligible employees (Journal of Laws of 2020, item. 2222) announces that each eligible employee can acquire – free of charge – 105,000 (in words: one hundred and five thousand) A series registered shares of the Joint Stock Company CPP “PREMA” S.A. with its registered seat in Kielce, 90 Wapiennikowa Street, 25-101 Kielce with a nominal value of PLN 10 (in words: ten zlotys).

1. Agreements for gratuitous disposal of shares can be concluded from June 01, 2021 at the Office of the Board of Directors, administrative building, main entrance at the gatehouse, 2nd floor, p. 209 from 8:00 a.m. to 2:00 p.m.
2. Persons coming forward to conclude a contract for the free acquisition of shares shall have a current identity card, and if they do not have a card, another current document proving their identity.
3. If an authorized employee is unable to appear in person, he may appoint a proxy to perform on his behalf all actions necessary for the free acquisition of shares. A specimen power of attorney can be obtained from the Company: 90 Wapiennikowa Street, 25-101 Kielce, administrative building, main entrance at the gatehouse, 2nd floor, p. 209 or on the website www.cpp-prema.pl.
4. The heirs of eligible employees may exercise the right to acquire shares free of charge, provided that they present a final court decision on the acquisition of the inheritance or a registered certificate of inheritance drawn up by a notary public. Detailed information can be obtained from the Company (telephone number 41 366 95 12 or 41 366 95 02).
5. The right to acquire the Company’s shares free of charge may be exercised by eligible employees until February 24, 2022. After the expiration of this date, the right to gratuitous acquisition of shares shall expire with the exception of the heirs of eligible employees who meet the conditions referred to in Article 38c, paragraph 5 of the Law on Commercialization and Certain Rights of Employees.
